CLUB DESCENTE会員規約

第1条 CLUB DESCENTE会員とは

  1. CLUB DESCENTE会員（以下、「会員」という）とは、デサントジャパン株式会社（以下、「当社」という）が定めるCLUB DESCENTE会員規約（以下、「本規約」という）に同意のうえ、会員登録をされた方のすべてを指します。
  2. 会員は、日本国内における当社の商品・サービス等のご購入またはご利用（以下、「お取引」という）にあたり、当社が本規約で定めるポイントサービス、会員ランクサービス、その他の会員向けサービス（以下、総称して「本サービス」という）を利用することができます。

第2条 会員登録

  1. お客様は、当社が別途定める会員登録画面で会員情報を入力いただくことで、会員登録の申請が可能となります。会員が取得いただける会員IDはお一人につき１つとなります。
  2. 当社は、前項の会員登録の申請に対し、登録を承諾するときは、登録確認メールを送信することによりお申請に対する承諾を行うものとします。
  3. 会員登録希望者が過去に本規約違反などにより会員登録の抹消処分を受けていることが判明した場合、会員登録希望者の申請内容に虚偽の事項が含まれている場合、その他会員登録申請を承認することが不適当であると当社が判断する場合には、当該会員登録申請を承認しない場合があります。
  4. 会員情報は、当社直営オンラインストア「DESCENTE STORE」（以下、「オンラインストア」という）上に作成される会員マイページ（以下、「マイページ」という）にて常時確認と登録情報の修正ができます（ログインが必要です）。
  5. 会員登録における手数料および年会費は無料とします。

第3条 会員IDおよびパスワードの管理

  1. 会員は、付与された会員IDおよび自身で設定したパスワードの管理責任を負うものとします。
  2. 会員は、会員IDおよびパスワードを第三者に譲渡、貸与、開示してはならないものとします。
  3. 会員は、会員IDおよびパスワードの不適切な管理、使用上の過誤、第三者による使用などに起因する損害につき自ら責任を負うものとします。
  4. 日本国内の当社が指定する店舗（以下、「対象店舗」という）にて、会員カードもしくはスマートフォンによる会員IDの提示、またはオンラインストアにて、会員IDとパスワードにてログインをしたときは、当社はともに会員による利用とみなします。
  5. 会員は、会員IDおよびパスワードが第三者によって不正に使用されていることが判明した場合には、直ちに当社に連絡するものとします。

第4条 ポイントの付与

  1. 会員が対象店舗での商品購入の際には、精算（決済）前にスマートフォンアプリ等により会員IDバーコードをご提示いただいた場合に限り、当社は会員にポイントを付与します。
  2. 会員がオンラインストアでの商品購入の際には、会員としてログインをしている状態で購入いただいた場合に限り、当社は会員にポイントを付与します。
  3. その他、当社主催のイベント、キャンペーン等について当社がポイント付与対象であると指定したときは、付与条件を満たした場合に限り、当社は会員にポイントを付与します。
  4. ポイントは対象店舗では商品を購入した翌日に、オンラインストアでは商品を会員に発送した30日後にポイントが付与されます。
  5. 以下の場合は、ポイント付与の対象となりません。
    （1）
    ポイントでのお買い上げ分
    （2）
    一部催事でのお買い上げ
    （3）
    送料、加工料、お直し代、ラッピング資材等
    （4）
    その他手数料
    （5）
    その他当社が本サービスの付与対象外として指定した店舗、ウェブサイト、商品、サービス等
  6. ポイントの付与率、その他付与条件等は、当社が別途定めるものとします。

第5条 ポイントの確認

会員が獲得したポイント残高は、マイページ上、またはスマートフォンアプリの会員証のタブ上で確認できます。

第6条 ポイントの譲渡の禁止

会員は、保有するポイントを他の会員に譲渡もしくは質入れし、または会員間でポイントを共有することはできません。

第7条 ポイントの取り消し・抹消、商品・サービス等のご注文のお断り・契約の解除

  1. 当社は、以下の各号のいずれかに該当すると判断した場合、会員に事前の通知をすることなく、会員へのポイントの付与を取りやめ、会員が保有するポイントの一部または全部を取り消し、会員によるお取引に関するご注文をお断りし、またはご注文に基づき成立した契約を解除することができます。
    （1）
    会員に違法、または不正行為があった場合
    （2）
    会員において、本規約、その他当社が別途定める規約・ルール等に違反があった場合
    （3）
    会員のご注文に関して、クレジットカード会社の承認を受けられなかった場合
    （4）
    当社が商品・サービス等においてご購入可能な数量、ご購入可能な金額等の制限を設けているときに、会員からそれらの制限を超えたご注文をお受けした場合
    （5）
    会員によるご注文が、転売目的、その他の不正な目的のおそれのあるご注文であると当社が判断した場合
    （6）
    その他、当社がポイントを取り消し、ご注文をお断りし、または契約を解除することが適当であると当社が判断した場合
  2. 会員がポイント利用をした後に、ポイントが取り消された場合は、当該決済の対象となるお取引が取り消されることがあります。
  3. ポイント付与の対象であった購入商品を返品する際には、当社は付与したときと同等ポイントを抹消します。
  4. 前項に関して、会員がすでにポイントを消費しており、当該ポイントを抹消できない場合には、その現象が当社に起因するときを除き、抹消できないポイント相当額を現金にてお支払いいただきます。

第8条 ポイントの利用

会員は、ポイントの利用にあたり、次の各号に従うものとします。

（1）
会員は、保有するポイントを当社が定める換算率にて、対象店舗およびオンラインストアにおける決済代金の全部または一部として利用することができます。
（2）
当社は、ポイント利用の対象となる、商品・サービス・キャンペーン等を制限し、または条件を付することがあります。
（3）
会員がポイントを利用して購入した商品を返品した場合、当社は会員が購入時に利用したポイントと同等のポイントを返還いたします。
（4）
何らかの事情により、決済代金が減額となった場合、当社は会員が利用したポイントを返還いたしません。ただし、減額がポイントの利用分に達する場合に限りポイントの返還を行うものとします。
（5）
会員が決済代金の支払いにポイントを利用した後に、本規約に違反していることが判明し、ポイントを取り消した場合には、当社は会員にポイントによって充当した代金相当額の支払いを求めることができます。この場合、会員はすみやかに代金相当額を当社に支払うものとします。
（6）
会員は、いかなる場合でもポイントを換金することはできません。
（7）
ポイントの利用は、会員本人が行うものとし当該会員以外の第三者が行うことはできません。
（8）
会員以外の第三者が、会員の会員カード、会員ID、パスワードを不正使用した場合、当社は利用されたポイントを会員本人に返還いたしません。同時に会員に生じた損害について一切責任を負いません。

第9条 ポイントの有効期間

  1. ポイントの有効期間は最終購買日から１年間とします。有効期間が終了するとポイントは消滅します。
  2. 利用期間を定めた「期間限定ポイント」については、前項の定めに関わらず設定された有効期間が終了するとポイントは消滅します。

第10条 ランクの設定

  1. 当社は、当社が定める商品購入金額によって、会員にランクを付与します。
  2. ランクは4段階で設定し、会員全員がいずれかのランクに属することとします。
  3. 当社は、当社が定める時期に会員ごとの購入金額と当社が定めるランク基準によってランク設定の見直しを行い、会員に新ランクを付与するものとします。
  4. ランク取得に際し、会員が不正を行ったと見なされる場合には、当社は通知なく当該会員のランクを変更することができます。

第11条 ランクごとの特典

  1. 当社はランクごとに「特典」を設定し、これを当該ランク所属会員全員に付与します。
  2. 特典の内容は当社が決定し、会員はこれに従うものとします。
  3. 特典の内容は予告なく変更することがあります。
  4. 会員本人に限り特典を受けることができるものとします。「会員本人による利用」の判断は第３条第４項に従うものとします。
  5. 前条第4項によって会員のランクが変更された場合、当社は会員に対して当該不正期間に得た特典の返還を求めることができるものとします。

第12条 ポイント、ランクの資格喪失

会員が退会等で会員の資格を喪失した場合には、保有するポイント、取得しているランク、その他本サービスの利用に関する一切の権利を失うものとし、地位の喪失に伴って当社に対して何らの請求権も取得しないものとします。

第13条 禁止事項

会員は、以下の行為を行わないものとします。以下の行為を行っていると当社が判断した場合、当社は当該会員に本サービスの提供を制限し、または会員資格の一時停止、または失効を行うことができるものとします。

（1）
本規約に違反する行為
（2）
法令、条例、または公序良俗に違反する行為
（3）
会員登録の際に虚偽の情報を申請、提示する行為
（4）
会員資格、ポイント、ランク、特典について、有償無償を問わず、第三者に譲渡する行為、またはこれらの譲渡を受け、もしくは不正に取得する行為
（5）
本人以外の会員名義で本サービスを利用する行為
（6）
会員情報に不正にアクセスし、会員情報を不正に取得し、または改ざんする行為
（7）
他の会員、第三者、もしくは当社グループの、特許権、商標権、著作権、意匠権、プライバシー、その他の権利を侵害し、もしくは損害を与える行為、またはこれらのおそれのある行為
（8）
当社グループの信用または名誉を毀損する行為
（9）
転売目的、またはその他の不正な目的で、当社の商品・サービス等を購入もしくは利用する行為、または当社から購入した商品・サービス等を転売し、もしくはその他の不正な目的に利用する行為
（10）
当社から購入した商品・サービス等に関して、当社の書面等による承諾を得ることなく、転売目的、またはその他の不正な目的で撮影し、撮影した画像・動画等を送信し、配信し、第三者に提供し、またはその他の二次利用を行う行為
（11）
当社の書面等による承諾を得ることなく、当社の店舗内を撮影する行為
（12）
本サービスを含む当社グループの事業運営に支障を与え、妨害し、または当社グループに損害を与える行為
（13）
その他当社が、会員として不適切と判断する行為

第14条 本サービスの中断等

  1. 当社は、本サービスを運用するにあたり、地震・噴火・風水害・洪水・津波・落雷等の天災地変、火災、感染症の流行、戦争・内乱・テロ行為、停電、システム・通信障害等（以下、総称して「非常事態」といいます。）が生じた場合、設備・システム・ソフトウェア等の保守等を行う必要がある場合、またはその他運用上・技術上で当社が必要と判断した場合、本サービスを中断する場合があり、中断が生じないことを保証するものではありません。
  2. 前項に基づく本サービスの中断、データの消失、またはデータへの不正アクセス等に基づき会員に生じた損害について、当社は当社の故意または重大な過失のない限り、一切責任を負わないものとします。

第15条 本サービスの変更・終了・停止

  1. 当社は、当社の都合により、本サービスの内容または本サービス提供の条件の変更（ポイントの廃止、ポイント付与の停止、ポイント付与率および利用率の変更、ランク設計の廃止や変更、ランク特典の廃止や変更を含むがこれに限らない）を行うことがあり、また本サービス自体を終了または停止することがあります。
  2. 非常事態の発生時には、会員への事前通知なしに、ポイントの利用または特典の設定の一部もしくは全部を停止させていただく場合があります。

第16条 会員の個人情報の取り扱いについて

  1. 当社は会員の個人情報については当社グループの定める「個人情報保護方針（プライバシーポリシー）」に従って管理します。
  2. 会員は当社グループの定める「個人情報保護方針（プライバシーポリシー）」に従って当社が会員情報を利用するほか、次の条件で会員情報を共同利用することについて同意するものとします。
    （1）
    共同利用する個人情報：氏名、住所、性別、生年月日、メールアドレス、電話番号、商品購入履歴等、その他特定の個人を識別することができる情報
    （2）
    共同利用者の範囲：当社が出店する百貨店その他の商業施設
    （3）
    共同利用者の利用目的：当社グループの定める「個人情報保護方針（プライバシーポリシー）」の第２項「個人情報の利用目的」のうち、「個人情報の取扱いについて」記載の利用目的
    （4）
    共同利用の管理責任者：当社（当社の住所、代表者の氏名は会社概要ページをご参照ください。）

第17条 会員資格の喪失

会員が以下の各号のいずれかに該当するときは、会員資格を喪失するものとします。同時に当該会員のポイント、ランクは消滅するものとします。また当社は、会員資格を喪失した会員の登録情報を消去することができるものとします。

（1）
暴力団関係者、犯罪・詐欺行為をする者、その他これらに準ずる者（以下、総称して「反社会的勢力」という）であるとき、または反社会的勢力と関わりを持つことが判明したとき。
（2）
退会したとき。
（3）
会員が死亡もしくは行方不明となったとき、または当社から会員に宛てた通知が会員に登録された連絡先に到着せず、もしくは当社からの通知を拒絶したとき。
（4）
その他当社が会員として不適格と判断したとき。

第18条 退会

会員は、マイページ上にて退会の申請をすることにより、随時退会できるものとします。

第19条 本規約の改定

当社は、当社の判断により本規約を必要に応じて改定できるものとし、その効力は本規約の改定日をもって、お客様に生じるものとします。ただし、本規約の改定に伴い会員に不利益が発生する等、当社が会員への通知が必要と判断した場合、本規約の改定前に、本規約を改定する旨および改定後の内容とその効力発生日をオンラインストア等で通知します。なお、改定後の本規約の効力発生日以降に会員が本サービスを利用したときは、会員は改定後の本規約に対する有効かつ取消不能な同意をしたものとみなします。

第20条 その他

  1. 本サービスに関する緊急または重要なお知らせは、原則として会員登録時に登録したE-Mailおよび電話によるものとします。
  2. 本規約により解決できない問題が生じた場合には、当社と会員との間で双方誠意をもって話し合い、これを解決するものとします。
  3. 本サービスをご利用になることにより、他の会員または第三者に対して損害を与えた場合には、当該会員は自己の責任と費用において解決するものとし、当社には一切迷惑を与えないものとします。
  4. 本規約、本規約に基づくお取引、および本サービスに関する成立、効力、履行および解釈については、日本法を準拠法とします。
  5. 本規約、本規約に基づくお取引、および本サービスに関して訴訟の必要が発生した場合には、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

迪桑特俱乐部会员条款（中文版）

《迪桑特俱乐部会员条款（中文版）》是用日语制作的《迪桑特俱乐部会员条款》的翻译版，是作为参考而制作的。当两者之间存在矛盾、不一致时，优先适用日语制作的《迪桑特俱乐部会员条款》。

第1条 迪桑特俱乐部会员是指

  1. 迪桑特俱乐部会员（以下简称“会员”）是指同意迪桑特日本株式会社（以下简称“本公司”）规定的迪桑特俱乐部会员条款（以下简称“本条款”）后，注册为会员的所有人。
  2. 会员在日本国内购买或使用本公司的商品和服务等（以下简称为“交易”）时，可以使用本公司在本条款中规定的积分服务、会员等级服务、其他面向会员的服务（以下统称为“本服务”）。

第2条 会员注册

  1. 客户可以通过在本公司另行规定的会员注册画面上输入会员信息，申请会员注册。会员能取得的会员ID为每人一个。
  2. 本公司对前款的会员注册申请，同意注册时，应通过发送注册确认邮件对申请进行同意。
  3. 如果发现希望注册会员的人过去因违反本条款等原因受到了注销会员注册的处分时，或在希望注册会员的申请内容中包含虚假事项时，以及其他本公司判断不宜同意会员注册申请的情形下，可能不同意该会员注册申请。
  4. 会员信息可以在本公司直营的网上商店“迪桑特商店”（以下简称“网上商店”）上制作的会员主页（以下简称“我的主页”）上随时确认和修改注册信息（需要登录）。
  5. 会员注册手续费及年会费免费。

第3条 会员ID及密码的管理

  1. 会员应负责管理被授予的会员ID及自身设置的密码。
  2. 会员不得将会员ID及密码转让、出借、披露给第三方。
  3. 因会员对会员ID及密码的不当管理、使用上的错误、第三方的使用等而造成的损害，应自行承担责任。
  4. 在日本国内的本公司指定的店铺（以下简称“对象店铺”），通过会员卡或智能手机提示会员ID，或者在网上商店，通过会员ID和密码登录时，本公司都视为会员使用。
  5. 如果发现第三方非法使用会员ID和密码，会员应立即与本公司联系。

第4条 积分的授予

  1. 会员在对象店铺购买商品时，仅限于在结算（支付）前通过智能手机应用程序等提示会员ID条形码时，本公司对会员授予积分。
  2. 会员在网上商店购买商品时，只有在作为会员登录的状态下购买时，本公司才会给会员积分。
  3. 其他，关于本公司主办的活动、促销等，本公司指定为积分授予对象时，仅在满足授予条件时，本公司向会员授予积分。
  4. 如果是在指定商店购买，则将在购买次日获得积分；如果是在网上商店购买，则将在商品发送给会员30天后授予积分。
  5. 以下情形不是积分授予对象。
    （1）
    用积分购买的部分
    （2）
    在部分促销活动中购买
    （3）
    运费、加工费、修理费、包装材料等
    （4）
    其他手续费
    （5）
    其他本公司指定为本服务的授予对象外的店铺、网站、商品、服务等
  6. 积分的授予率、其他授予条件等由本公司另行规定。

第5条 积分的确认

会员获得的积分余额可以在我的页面上或智能手机应用程序的会员证标签上确认。

第6条 禁止转让积分

会员不得将所持积分转让或质押给其他会员，或在会员之间共享积分。

第7条 取消和注销积分、拒绝订购商品和服务等、解除合同

  1. 本公司判断属于以下任一项时，可以不事先通知会员，就取消对会员的积分授予，取消会员持有的部分或全部积分，拒绝会员关于交易的订单或者可以解除根据订单成立的合同。
    （1）
    会员有违法或不正当行为时
    （2）
    会员违反本条款、其他本公司另行规定的条款、规则等时
    （3）
    关于会员的订单，未得到信用卡公司的批准时
    （4）
    本公司在商品、服务等中设置可购买数量、可购买金额等限制时，从会员那里收到超过这些限制的订单时
    （5）
    本公司判断会员的订单是为了转卖目的、其他可能有不正当目的的订单时
    （6）
    其他本公司认为取消积分、拒绝订货或解除合同是适当时
  2. 会员使用积分后，如果积分被取消，则该结算对象的交易可能会被取消。
  3. 作为积分授予对象的购买商品进行退货时，本公司将注销与授予时相同的积分。
  4. 关于前款，会员已经消费积分，无法注销该积分时，除该现象起因于本公司外，请用现金支付无法注销的积分相当金额。

第8条 积分的使用

会员在使用积分时，应遵循以下各项。

（1）
会员可以将持有的积分以本公司规定的换算率，作为对象店铺及网上商店的结算费用的全部或一部分使用。
（2）
本公司有限制或附加条件限制积分使用对象的商品、服务、促销活动等的情形。
（3）
会员使用积分购买的商品退货时，本公司返还与会员购买时使用的积分相同的积分。
（4）
因某种原因，结算费用减少时，本公司不返还会员使用的积分。但是，只有在减额达到积分的使用量时，才进行积分的返还。
（5）
会员在支付结算价款时使用积分后，发现违反本条款，取消积分时，本公司可要求会员支付按积分抵充的相当于价款的金额。这种情况下，会员应立即向本公司支付相当于货款的金额。
（6）
会员不得在任何情况下兑换积分变现。
（7）
积分的使用由会员本人进行，该会员以外的第三者不能使用。
（8）
会员以外的第三方非法使用会员的会员卡、会员ID、密码时，本公司不会将使用的积分返还给会员本人。同时对会员造成的损害概不负责。

第9条 积分的有效期间

  1. 积分的有效期间为自上次购买之日起1年。有效期间结束后积分失效。
  2. 关于规定了使用期间的“期间限定积分”，与前款的规定无关，设定的有效期间结束后积分失效。

第10条 等级的设定

  1. 本公司根据本公司规定的商品购买金额，给会员授予等级。
  2. 等级设定为4个等级，所有会员都属于某一等级。
  3. 本公司在本公司规定的时期，根据每个会员的购买金额和本公司规定的等级标准，进行等级设定的修改，授予会员新等级。
  4. 取得等级时，若会员被视为舞弊，本公司可不经通知变更该会员的等级。

第11条 各等级的优惠

  1. 本公司按等级设定“优惠”，并将其授予该等级所属的所有会员。
  2. 优惠内容由本公司决定，会员将遵照此规定。
  3. 优惠内容可随时更改，恕不另行通知。
  4. 仅限会员本人可以享受优惠。“会员本人使用”的判断遵循第3条第4款。
  5. 根据前条第4款变更会员等级时，本公司可要求会员返还该舞弊期间获得的优惠。

第12条 积分、等级资格丧失

会员因退会等原因丧失会员资格时，将失去持有的积分、取得的等级、其他与本服务使用相关的所有权利，随着地位的丧失，对本公司不取得任何请求权。

第13条 禁止事项

会员不得做出以下行为。如果本公司认为有以下行为，本公司可以限制对该会员提供本服务，或者暂停或注销会员资格。

（1）
违反本条款的行为
（2）
违反法律法规、条例或公序良俗的行为
（3）
注册会员时申请、出示虚假信息的行为
（4）
关于会员资格、积分、等级、优惠，不论有偿无偿，转让给第三方的行为，或者接受或非法取得这些转让的行为
（5）
以本人以外的会员名义使用本服务的行为
（6）
非法访问会员信息，非法取得或篡改会员信息的行为
（7）
侵犯或损害其他会员、第三方或本公司集团的发明专利权、商标权、著作权、外观设计权、隐私或其他权利的行为，或有这种可能性的行为
（8）
损害本公司集团信用或名誉的行为
（9）
以转卖目的或者其他不正当的目的，购买或者使用本公司的商品、服务等的行为，或者转卖从本公司购买的商品、服务等，或者用于其他不正当的目的的行为
（10）
关于从本公司购买的商品、服务等，在没有得到本公司的书面等的同意的情况下，以转卖目的或其他不正当的目的进行拍摄，发送、分发拍摄到的图像、动画等，提供给第三方，或者进行其他二次利用的行为
（11）
未经本公司书面同意，在本公司店铺内进行摄影的行为
（12）
对包括本服务在内的本公司集团的业务运营造成障碍、妨碍或对本公司集团造成损害的行为
（13）
其他本公司认为不适合作为会员的行为

第14条 本服务的中断等

  1. 本公司在运用本服务时，发生地震、火山爆发、台风、水灾、洪水、海啸、落雷等天灾地变、火灾、感染症的流行、战争、内乱、恐怖行为、停电、系统和通信障碍等（以下统称为“紧急事态”）时，需要进行设备、系统、软件等的维护等时，或者在其他运用、技术上判断为本公司需要时，可能会中断本服务，不保证不会发生中断。
  2. 前款规定的本服务中断、数据丢失或非法访问数据等，对会员造成的损害，本公司不承担任何责任，除非有本公司的故意或重大过失。

第15条 本服务的变更、结束、停止

  1. 本公司根据本公司的情况，可能进行本服务的内容或本服务提供的条件的变更（包括但不限于积分的废止、积分授予的停止、积分授予率及利用率的变更、等级设计的废止或变更、等级优惠的废止或变更），此外，本服务本身可能会终止或停止。
  2. 发生紧急事态时，可能会在没有事先通知会员的情况下，停止积分的使用或优惠设定的一部分或全部。

第16条 会员个人信息的处理

  1. 本公司对会员的个人信息按照本公司集团规定的“个人信息保护政策（隐私政策）”进行管理。
  2. 会员同意，根据本公司集团规定的“个人信息保护政策（隐私政策）”，除本公司使用会员信息外，在以下条件下共同使用会员信息。
    （1）
    共同利用的个人信息：姓名、住址、性别、出生年月日、邮件地址、电话号码、商品购买履历等以及其他能够识别特定的个人的信息
    （2）
    共同使用者范围：本公司开设店铺的百货店及其他商业设施
    （3）
    共同利用者的利用目的：本公司集团规定的“个人信息保护政策（隐私政策）”的第2款“个人信息的利用目的”中，“关于个人信息的处理”记载的利用目的。
    （4）
    共同使用的管理责任人：本公司（本公司的地址、代表人的姓名请参照公司简介页面。）

第17条 会员资格的丧失

会员属于以下任一项时，将丧失会员资格。同时该会员的积分、等级将消失。另外，本公司可以删除丧失会员资格的会员的注册信息。

（1）
黑社会相关人员、进行犯罪和欺诈行为的人、其他参照适用这些的人（以下统称为“反社会势力”），或者判明与反社会势力有关系时。
（2）
退会时。
（3）
会员死亡或失踪时，或本公司给会员的通知未能送达会员注册的联系方式，或拒绝本公司通知时。
（4）
其他本公司判断作为会员不合格时。

第18条 退会

会员通过在主页上申请退会，可以随时退会。

第19条 本条款的修改

本公司根据本公司的判断，可以根据需要修改本条款，其效力将在本条款修改之日对客户产生。但是，随着本条款的修改对会员产生不利等，本公司判断为需要向会员通知时，在本条款修改前，在网上商店等通知修改本条款的意思以及修改后的内容及其效力发生日。另外，在修改后的本条款生效日以后，会员使用本服务时，视为会员对修改后的本条款进行了有效且不能取消的同意。

第20条 其他

  1. 本服务的紧急或重要通知原则上通过注册会员时注册的电子邮件和电话进行。
  2. 如出现本条款无法解决的问题，本公司与会员双方应真诚协商解决。
  3. 使用本服务对其他会员或第三方造成损害时，该会员应自行承担责任和费用解决，不给本公司带来任何麻烦。
  4. 关于本条款、基于本条款的交易以及本服务的成立、效力、履行及解释，以日本法为准据法。
  5. 与本条款、本条款规定的交易以及本服务有关而发生诉讼的必要时，东京地方法院作为第一审的专属协议管辖法院。

CLUB DESCENTE Membership Terms and Conditions (English Version)

These "CLUB DESCENTE Membership Terms and Conditions (English Version)" are a translation of the Japanese version of the "CLUB DESCENTE Membership Terms and Conditions" and have been prepared for reference purposes only. In the event of any inconsistency or conflict between the English version and the Japanese version, the Japanese version of the "CLUB DESCENTE Membership Terms and Conditions" shall prevail.

Article 1. CLUB DESCENTE MEMBERSHIP

  1. CLUB DESCENTE members (hereinafter, "Members") mean all those who have agreed to the CLUB DESCENTE Membership Terms and Conditions (hereinafter, the "T&C") set forth by DESCENTE JAPAN LTD. (hereinafter, the "Company"), and have registered as Members.
  2. Members may use the point service, member ranking service, and other services for Members (hereinafter, collectively, the "Services") as set forth in these T&C when purchasing or using the Company's products, services, etc. in Japan (hereinafter, the "Transaction").

Article 2. Membership Registration

  1. Customers may apply to become Members by entering the required information into the membership registration page separately designated by the Company. Each Member is eligible to obtain only one member ID.
  2. When approving a request for membership registration as described in Article 2.1 above, the Company shall do so by sending a registration confirmation e-mail.
  3. If it is found that a prospective member's membership registration has been rejected in the past due to a violation of these T&C, if the prospective member's application contains false information, or if the Company otherwise deems it inappropriate to approve the prospective member's application, the Company may not approve the prospective member's application.
  4. Member information can be checked and edited on the My Page section (hereinafter, "My Page") within the DESCENTE STORE E-commerce site (hereinafter, the "EC Site") (log-in is required).
  5. There are no membership registration fees nor annual fees.

Article 3. Management of Member ID and Password

  1. Members shall be responsible for the management of their assigned member ID and password.
  2. Members shall not share, lend, or disclose their member ID and password to third parties.
  3. Members shall be responsible for damages caused by improper management of their member ID and password, errors in use, or use by a third party.
  4. When a Member presents their member ID with their membership card or smartphone at a store designated by the Company in Japan (hereinafter, "Designated Stores"), or when a Member logs into the EC Site with their member ID and password, the Company will consider both as use by the Member.
  5. If a Member discovers that their member ID and password has been used illegally by a third party, Member shall immediately notify the Company.

Article 4. Awarding Points

  1. When a Member makes a purchase at Designated Stores, the Company shall award points to the Member only if the Member presents the member ID barcode via smartphone application, etc. before settlement (payment).
  2. When a Member purchases a product from the EC Site, the Company shall award points to the Member only if the purchase is made while logged in as a Member.
  3. When the Company designates events, campaigns, etc. sponsored by the Company as being eligible for the awarding of points, the Company shall grant points to Members only when they meet the conditions therefor.
  4. Points shall be awarded on the next day of purchase for purchases made at Designated Stores, and 30 days after the product is shipped to the Member when the purchase is made on the EC Site.
  5. Points shall not be awarded in the following cases:
    （1）
    Purchases made using points as a form of payment;
    （2）
    Purchases made at certain events;
    （3）
    Shipping charges, processing fees, alteration charges, wrapping materials, etc.,
    （4）
    Other fees; and
    （5）
    Other stores, websites, products, services, etc. designated by the Company as not eligible for the awarding of the Services.
  6. The rate of points awarded and other conditions for the awarding of points shall be determined separately by the Company.

Article 5. Checking Points Balance

Members can check their point balance on My Page or on the "Membership Card" tab on their smartphone application.

Article 6. Prohibition of Transferring of Points

Members may not transfer or pledge their points to other Members or share points among Members.

Article 7. Cancellation or Termination of Points, Refusal to Complete an Order for Products or Services, or Cancellation of Contract

  1. If the Company determines that any of the following items apply, the Company may, without prior notice to the Member, cancel the points awarded to the Member, cancel all or part of the points held by the Member, refuse to accept an order for a Transaction by the Member, or terminate the contract concluded based on the order:
    （1）
    Illegal or fraudulent acts by the Member;
    （2）
    The Member violates these T&C or any other terms or rules stipulated separately by the Company;
    （3）
    Failure to obtain approval from the credit card company for the Member's order;
    （4）
    When an order received from the Member exceeds the pre-determined limits set on the quantity or monetary amount of a product or service that can be purchased;
    （5）
    If the Company determines that the order placed by the Member is for resale or may be placed for other fraudulent purposes; and
    （6）
    In any other cases where the Company deems it appropriate to cancel the points, refuse the order, or terminate the contract.
  2. If points are cancelled after a Member has used such points, the Transaction corresponding to such settlement may be cancelled.
  3. When a Member returns a purchased product that resulted in the awarding of points, the Company shall cancel the points corresponding to such purchase.
  4. If a Member has already redeemed points and the points cannot be cancelled, the Member shall pay in cash the amount corresponding to such points, except in cases where the problem is caused by the Company.

Article 8. Use of Points

Members shall comply with the following items when using points.

（1）
Members may use their points as part or all of the payment at Designated Stores and EC Sites at the conversion rate determined by the Company.
（2）
The Company may restrict or impose conditions on products, services, promotions, etc. that are eligible to use points.
（3）
If a Member returns a product purchased with points, the Company shall refund points equivalent to the points used by the Member at the time of purchase.
（4）
If the settlement price is reduced for any reason, the Company will not refund the points used by the Member; provided, however, that the points shall be refunded if the reduced amount reaches the amount of points used.
（5）
If, after a Member uses points for a payment, it is found that such Member has breached these T&C and canceled the use of points, the Company may demand that the Member pays the amount equivalent to the price paid with such points. In such case, the Member shall promptly pay the Company the amount equivalent to the settlement price.
（6）
Members may not exchange points for cash under any circumstances.
（7）
Points may only be used by Members, and not by third parties.
（8）
If a third party misuses a Member's membership card, membership ID or password, the Company shall not refund the used points to the Member. The Company shall also not be liable for any damage incurred by the Member.

Article 9. Valid Term of Points

  1. The valid term of points shall be one year from the last day of purchase. Points shall expire at the end of the valid term.
  2. "Limited Term Points" that may only be used for a designated period shall expire at the end of the designated valid term regardless of the provision of Article 9.1 above.

Article 10. Setting of Ranks

  1. The Company shall grant ranks to Members according to the product purchase amount prescribed by the Company.
  2. There shall be four ranks and each Member shall belong to one of the ranks.
  3. The Company shall review the Members' ranks at the time determined by the Company based on the purchase amount of each Member and the rank criteria determined by the Company, and grant new ranks to Members thereafter.
  4. If a Member is deemed to have committed fraud in obtaining a rank, the Company may change such Member's rank without notice.

Article 11. Benefits by Rank

  1. The Company shall set "benefits" for each rank and grant them to all Members belonging to the relevant rank.
  2. The Company shall determine the content of the benefits and Members shall comply with the same.
  3. The content of the benefits are subject to change without prior notice.
  4. Only the Members shall be entitled to benefits. 5. The decision of "Use by Members" shall be made in accordance with Article 3.4.
  5. If a Member's rank is changed pursuant to Article 10.4 above, the Company may demand that the relevant Member return the benefits earned during such period of fraud.

Article 12. Loss of Points and Ranks

If a Member is disqualified due to withdrawal or other reasons, the Member shall lose all points held, ranks granted, and any other rights to use the Services, and shall not obtain any rights to make claims against the Company as a result of disqualification.

Article 13. Prohibited Matters

Members shall not engage in any of the following acts. If the Company determines that a Member is engaging in any of the following acts, the Company may limit the Services offered to such Member, or temporarily suspend or revoke their membership:

（1）
acts in breach of these T&C;
（2）
acts in breach of laws and regulations or public order and morals;
（3）
membership registration made with submission or presentation of false information;
（4）
transfer of membership, points, rank or benefits to a third party, or receiving the transfer of the same or unlawfully obtaining the same whether with or without charge;
（5）
use of the Services under any name other than the that of the Member;
（6）
unauthorized access to member information, unauthorized acquisition or falsification of Member information;
（7）
acts which infringe or damage patent rights, trademark rights, copyright, privacy or other rights of other Members, third parties or the Company group, or any acts which may cause the same;
（8）
acts which damage the credibility or reputation of the Company group;
（9）
purchase or use of the Company's products or services, etc. for the purpose of resale or other unlawful purposes, or resale of products or services, etc. purchased from the Company or use of the same for other unlawful purposes;
（10）
photographing of products or services, etc. purchased from the Company for the purpose of resale or other unlawful purposes, or transmission, distribution, provision to third parties or secondary use of the photographed images or videos, etc. without the written consent, etc. of the Company;
（11）
photographing inside the Company's stores without the written consent, etc. of the Company;
（12）
any acts which interfere with or obstruct the Services or other business operation of the Company group, or cause damage to the Company group; and
（13）
Other acts which the Company deems inappropriate as a member.

Article 14. Suspension of the Service, etc.

  1. In operating the Services, the Company may suspend the Services in the event of natural disasters such as earthquakes, eruptions, windstorms, floods, tsunamis, and lightning strikes; fires; epidemics of infectious diseases; wars, civil wars, and terrorist acts; power outages; system and communication failures, etc. (hereinafter, collectively “Emergencies"), or if necessary for the maintenance of equipment, systems, software, etc. or when the Company deems it necessary for other operational or technical reasons, and the Company does not guarantee that suspensions will not occur.
  2. The Company shall not be liable for any damages incurred by Members based on suspension of the Services under Article 14.1 above, loss of data, or unauthorized access to data, unless such damage is caused by the Company's willful misconduct or gross negligence.

Article 15. Change, Termination and Suspension of the Services

  1. The Company may, for its own reasons, change the content of the Services or the conditions under which the Services are provided (including, but not limited to, discontinuation of points, suspension of the awarding of points, change in the point award rate and utilization rate, discontinuation or change in the rank setting, discontinuation or change in rank benefits) or terminate or suspend the Services.
  2. In the event of Emergencies, the use of points or the setting of benefits may be suspended in whole or in part without prior notice to Members.

Article 16. Handling of Members' Personal Information

  1. The Company shall manage the personal information of its Members in accordance with the Company group's "Personal Information Protection Policy (Privacy Policy)".
  2. In addition to the use of member information in accordance with the Company group's "Personal Information Protection Policy (Privacy Policy)", Members agree to the sharing of member information under the following conditions.
    （1）
    Personal information to be shared: Name, address, gender, date of birth, e-mail address, telephone number, product purchase history, and other information that can identify a specific individual
    （2）
    Scope of joint users: Department stores and other commercial facilities where the Company open stores
    （3）
    Purpose of use of joint users: "Regarding the handling of personal information" of paragraph 2 "Purpose of Use of Personal Information” in "Personal Information Protection Policy (Privacy Policy)" established by the Company group
    （4）
    Person in charge of the management of joint use: The Company (see Company Profile page for the Company address and the name of our representative)

Article 17. Loss of Membership

If a Member falls under any of the following items, the Member shall be disqualified from membership. At the same time, the points and ranks of such Member shall cease to exist. The Company may also delete the registration information of Members who have lost their membership.

（1）
It is discovered that a Member is a person related to an organized crime group, a person who commits criminal or fraudulent acts, or any other similar person (hereinafter, collectively "Anti-Social Force"), or a Member is involved with an Anti-Social Force;
（2）
The Member withdraws from the membership;
（3）
The Member dies or their whereabouts becomes unknown, or when a notice from the Company to a Member does not arrive at the Member's registered contact address, or when a Member refuses to receive a notice from the Company; or
（4）
The Company otherwise deems the Member to be unqualified.

Article 18. Withdrawal of Membership

Members may cancel their membership at any time by submitting a withdrawal request on My Page.

Article 19. Revision of these T&C

The Company may, at its discretion, revise these T&C as necessary, and such revisions shall become effective for the customer as of the date of revision; provided, however, that if the Company deems it necessary to notify Members of a revision of these T&C due to a disadvantage to Members or for other reasons, the Company shall notify Members of the revised T&C and the revised content and effective date prior to the revision of these T&C through the EC Site or other means. In addition, if a Member uses the Services after the effective date of the revised T&C, the Member is deemed to have validly and irrevocably agreed to the revised T&C.

Article 20. Other Matters

  1. In principle, urgent or important notices regarding the Services shall be sent by e-mail and telephone as registered at the time of membership registration.
  2. If a problem arises that cannot be resolved under these T&C, the Company and the Member shall resolve the problem through good faith discussions.
  3. If a Member causes damage to another Member or a third party by using the Services, the Member shall resolve the matter at the Member's own responsibility and expense, and shall not cause any inconvenience to the Company.
  4. The formation, validity, performance, and interpretation of these T&C, Transactions based on these T&C, and the Services shall be governed by the laws of Japan.
  5. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance in the event that litigation becomes necessary in connection with these T&C, Transactions based on these T&C, or the Services.
